NDA
- Whenever we receive a new mandate query, first thing we do is conduct our own internal due diligence on the deal at no cost to the entrepreneur. This is to to assess if we can add value to this mandate – else we are clear that we should not waste our time or the entrepreneur’s time
- We sign a simple NDA that allows us to do this exercise
Due Diligence
Timeline
- We initiate 2 weeks of pre-mandate deal due diligence exercise at our end to assess if we can add value as a deal maker in this mandate
- During these two weeks, the entrepreneur is also entitled to do his/ her own due diligence on Prosight and if they have any queries, we are happy to answer those
Process
- During these two weeks we speak to a few strategic investors to assess their initial reactions to this proposition
- We may schedule a couple of interactions with the entrepreneur as well
- In parallel we do research (mix of both primary and secondary) on the entrepreneur’s company, products, industry and competition to get a holistic view on the deal potential
Findings
- We share our findings and observations as a formal report with the entrepreneur at no cost to him/ her. This is done post two weeks regardless of Prosight’s decision to move ahead or not with the mandate, and the report is useful for the entrepreneur in either case
- This is a no obligation exercise – after 2 weeks it may happen we may decide to work on the mandate but the entrepreneur may not be comfortable or vice versa but regardless we share our findings and feedback
If we both decide to move ahead to sell the deal
- Prosight then prepares and submit it’s engagement proposal
- Once terms are agreed upon, our legal team prepares mandate agreement for signing
- Prosight gets going with deal sell post that
Following the pre-mandate due diligence stage, we offer entrepreneurs three different options of engagement
Option 1
We find investors using our proprietary methodology and introduce them to entrepreneurs. Introductions are made until a deal is closed
Option 2
In addition to Option 1 we provide negotiation support to the entrepreneur in their
interactions with interested investors
Option 3
In addition to Options 1 & 2 we also prepare deal documents including a business plan, information memorandum and valuation note
For either of the options shown above, we work with our clients on a combination of –
- Retainer fees for taking up the mandate, and
- Success fees based on deal closure
